MP3 Converter - User Agreement

Introduction

Before using MP3 Converter (referring to the MP3 Converter application and its related software, hereinafter referred to as "the Software"), please read and understand all the rights and restrictions stipulated in the MP3 Converter User Agreement (hereinafter referred to as "this Agreement").

zhanhao liu (hereinafter referred to as "the Developer") respects and strictly protects the legal rights of users (including user privacy, user data, etc.) when using the Software. This Agreement is the final, complete, and exclusive agreement between the user (hereinafter referred to as "User" or "You") and the Developer regarding matters related to the Software.

The content of this Agreement also includes the relevant agreements, rules, and other content regarding the Software and related services that the Developer has published and may continuously publish in the future. This Agreement shall be legally binding on the user's use of MP3 Converter. By starting to use the Software, the user is deemed to have accepted this Agreement. Please read and understand various terms in this Agreement carefully (minors should be accompanied by a legal guardian during review).

This Agreement includes the MP3 Converter - Privacy Policy for the collection, use, and protection of users' personal information and data. You confirm that accepting this Agreement is deemed as you having fully read, understood, and agreed to the entire content of this Agreement and its annexed MP3 Converter - Privacy Policy.

I. About Account

You understand and promise that the account you set up shall not violate national laws and regulations, and you shall not maliciously register accounts. You must comply with relevant laws and regulations during use and shall not perform any acts that infringe on national interests or damage the legitimate rights and interests of other citizens. Any loss of data caused by your own reasons or other force majeure factors shall be borne by you personally, and the Developer shall not bear any responsibility.

II. End User License

In accordance with the provisions of this Agreement, MP3 Converter will grant you the following non-transferable, non-exclusive licenses:

The right to use the MP3 Converter software services;
The right to download, install, and use the Software on all your network communication devices, computer equipment, and mobile communication devices.

III. Restrictive Clauses

You may not license, sell, rent, transfer, or use the Software for commercial purposes in any form; you may not modify, translate, reverse compile, or reverse engineer the Software; you may not delete or destroy any copyright notices or other proprietary markings contained in the Software.

IV. Fees

You must personally bear the cost of purchasing the Software, as well as the communication fees, information fees, and other related costs charged by personal internet access or third parties.

V. About Paid Services

The Software provides users with annual/monthly subscription plans and a one-time lifetime purchase option.

Please Note:

Users must pay according to the activation process; specific prices vary by region.
The Developer has the right to modify membership fees at any time; fee changes will take effect at the end of the current billing cycle.
Subscription Service: Renewal will occur automatically. The Apple iTunes account will be charged within 24 hours prior to expiration. To cancel, please manually cancel in the system settings at least 24 hours before expiration.
About Lifetime Purchase: Refers to continuous access to paid features within the operational lifecycle of the Software. If the product stops service due to force majeure, this right will terminate accordingly.
The Software conducts transactions based on the Apple App Store payment system. Once the payment is successful, the Developer does not directly handle refund requests. For refunds, please apply to Apple official via reportaproblem.apple.com according to Apple's relevant regulations. The refund result depends on Apple's review policy.

VI. Compliance with Law

You agree to comply with relevant laws and regulations and take full responsibility for any behavior and its consequences when using this service.

VII. User Content

User Content refers to all content generated when the user downloads, publishes, or otherwise uses the Software (e.g., audio files, video files, or other content).
You are solely responsible for your User Content and will bear the risk of being identified or any third party being identified due to the disclosure of your User Content.
You have agreed that your User Content is subject to rights restrictions (see "VIII. Rights Restrictions"). You confirm and agree that for the purposes of achieving audio and video processing functions, optimizing App experience, and measuring advertising effectiveness, you grant the Developer a limited, non-exclusive, transferable, and free right to store and process your files and to collect and use your device and usage information within the scope necessary to provide services (see "MP3 Converter - Privacy Policy").

VIII. Rights Restrictions

You have agreed not to engage in illegal activities in the Software, including but not limited to releasing malicious code, interfering with other users' use, and other content prohibited by laws and administrative regulations.

IX. Intellectual Property

All copyrights and trademark rights of the Software are legally owned by zhanhao liu. The intellectual property rights of the content you process through the Software still belong to you or the original rights holder.

X. Modification and Termination

This Agreement is subject to change. After notification of changes, continued use of the Software is deemed as your consent. This Agreement takes effect from the date you accept it until it is terminated in accordance with this Agreement.

XI. Third Parties

You acknowledge or agree that part of our services is obtained based on technical support from third parties, including but not limited to providing advertising and analysis services. You acknowledge that this Agreement is signed between you and the Developer, rather than between you and the aforementioned third parties. The Developer is the sole person responsible for the content, maintenance, support services, guarantees, and litigation arising from MP3 Converter. You have agreed to comply with and authorize MP3 Converter to restrict your conditional use of the MP3 Converter services.

XII. Third-Party Information and Services

MP3 Converter contains some information and services from third parties, including advertising content provided by third parties. The Developer does not control and is not responsible for the information and services (including advertising) of third parties;
The Developer provides such information and services only for your convenience or to fulfill the needs of third-party commitments and guarantees;
Users must bear the legal responsibility for risks generated by using third-party information and services. Please note that when you interact with third-party services (including advertising), your data may be shared with such third parties according to the "MP3 Converter - Privacy Policy" and subject to the terms and policies of those third parties.

XIII. Indemnification

You have agreed to use MP3 Converter harmlessly and avoid any complaints, litigation, losses, damages, liabilities, costs, and expenses (including attorney fees) from third parties caused by the following behaviors or related behaviors:

The user's behavior in using MP3 Converter;
The user's User Content;
The user's violation of this Agreement.

The Developer reserves the exclusive right of defense and the right to claim compensation.

In any case, MP3 Converter shall not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from this Agreement. The risk of damage to the computer system or mobile communication device data generated by accessing or using MP3 Converter will be borne by you personally.

XIV. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the People's Republic of China;

If a dispute occurs between the two parties, it should be resolved through friendly negotiation; if negotiation fails, both parties agree to submit the dispute to a People's Court with jurisdiction in the place where the service provider is located.

XV. Severability

If certain terms in this Agreement cannot be applied for any reason, other terms of this Agreement shall continue to apply, and the inapplicable terms will be modified so that they can be applied in accordance with the law.

XVI. Entire Agreement

This Agreement is the final, complete, and exclusive agreement between you and MP3 Converter regarding matters related to MP3 Converter, and supersedes and merges previous discussions and agreements between the parties regarding such matters (including previous end-user licenses, terms of service, and privacy policies).
